MapleConnect Program - Terms and
Conditions
This document describes the terms and
conditions governing participation in the MapleConnect
Developer Program. When your product is ready for sale,
you will also need to sign a Reseller's
Agreement governing the sale of the final product.
Please read these terms carefully.
By applying to the program, you certify that you have
read, understood, and accepted the following terms and
conditions.
- In order to be posted on the Maplesoft
Web Store, the final product must meet quality standards,
and not be deemed offensive, or dangerous, or be in
contravention of export controls.
- At our discretion, participants
may be removed from this program if they show no progress
after a reasonable time, or if their behavior is deemed
to be disruptive or counter to the general interests
of the MapleConnect community. The developer will be
given appropriate information and opportunities to
correct the situation before this action is taken.
- Participation in this program does
not imply any formal legal relationship between Maplesoft
and the MapleConnect member. We are independent parties.
Participants are not allowed to publicly claim or imply
any partnership with Maplesoft without prior written
permission from Maplesoft. Participants are not permitted
to use the MapleConnect logo, or any other Maplesoft
logo, without prior written permission from Maplesoft.
- Maplesoft will attempt to provide
you with reasonable and accurate information regarding
developing and productizing your product, including
information about legal matters. However, you are ultimately
responsible for your own product and choices. We cannot
accept any responsibility if you experience difficulties
by following our advice. You agree to indemnify and
hold Maplesoft, its affiliates, and its subsidiaries,
officers, agents, partners, and employees, harmless
from any claim or demand, including reasonable attorneys'
fees, made by any third party due to or arising from
your participation in the MapleConnect program.
- There is no exclusivity in this
relationship. You can sell your product through other
channels. Maplesoft can accept products competitive
to yours into this program. Your intellectual property
will be respected, but we can independently develop,
or contract for, the development of similar products,
or expand Maplesoft products to include functionality
matching that of your product, before, during, or after
you submit your proposal for consideration or your
product for sale.
- As Maplesoft is a Canadian company
located in the Province of Ontario, any legal disputes
between you and Maplesoft arising out of participation
in the MapleConnect program must be settled in an Ontario
court.
- This program may be changed or discontinued
at any time without notice.
